INCORPORATING A COMPANY
Most businessmen when starting to do business in British Columbia or Canada incorporate a company. To incorporate a company in Canada requires several things.
You need to reserve a name and provide three possible choices. There are procedures available to allow your company to protect the use of this name in BC and other provinces.
You need to decide whether the company will be a Federal or British Columbia company. You also need to confirm how many Canadians you will have available to act as a director. A Federal company has minimum Canadian director requirements (25% of the directors and a minimum of one Canadian). A British Columbia company also has a minimum Canadian director requirement of one Canadian.
You need to determine what types of shares and rights of shares you wish the company to have. You also need to confirm what types of officers you wish to have (President, Vice-President, Secretary, Treasurer etc.). You further need to confirm who will be the shareholders.
If you are a British Columbia company you must select and maintain a registered and records office in British Columbia. You need an office that court and other legal documents may be delivered to.
